1. Provider
SkyFlow9 Digital UG (haftungsbeschränkt)
Taunusstraße 62
71032 Böblingen, Germany
(hereinafter “SkyFlow9”, “we”, “us”)
2. Scope and Definitions
These Terms of Service (“Terms”) govern your access to and use of automationhub.cloud (the “Service”). The Service provides workflow automations and integrations (e.g., Trello, YouTube, Google Drive, Kit.com, AI features).
Definitions:
- Account: your user account for the Service.
- Automation Run: one execution of an automation workflow or its components.
- Tasks: internal usage units used for billing Automation Runs and AI usage.
- Third-Party Services: external services you connect (e.g., Trello, Google/YouTube, Kit.com, Stripe, OpenAI, ... for a full list see: Subprocessors).
- Customer Content: data, files, prompts, webhooks, metadata, and other content you provide or process via the Service.
3. Business Use Only (B2B)
The Service is intended exclusively for business purposes. By creating an Account and/or purchasing a plan, you confirm that you act as an entrepreneur within the meaning of Section 14 German Civil Code (BGB) and that you use the Service for business purposes only.
If you do not meet this requirement, you must not use the Service. We may suspend or terminate access if this confirmation is false.
4. Contract Formation
A contract is concluded when you (a) create an Account, accept these Terms, and (b) purchase a subscription plan or Tasks via the embedded checkout (Stripe), and we confirm the purchase and provide access to the paid features.
5. Account, Security, and Accurate Information
- You must provide accurate and complete information (name, email, billing address) and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must use a secure password and promptly change it if you suspect misuse.
- You are responsible for all activities performed through your Account.
6. Third-Party Services and Authorizations
- You are solely responsible for obtaining and maintaining all rights, permissions, and licenses required to connect and use Third-Party Services.
- You must comply with the terms and policies of Third-Party Services.
- Availability, changes, limitations, and outages of Third-Party Services are outside our control and may impact automations.
- You authorize us to access connected Third-Party Services on your behalf to perform the automations you configured.
7. Tasks, Usage, and Expiry
Your usage of the Service is measured in Tasks. Each Automation Run consumes Tasks. AI/LLM usage is included in Task consumption and may vary depending on the automation, content, and model usage.
- Subscriptions: include a defined number of Tasks per billing period. Billing periods are not calendar-bound and start at checkout.
- Billing period length: 30 days (“monthly”) or 12 months (“yearly”), depending on the plan purchased.
- Reset: subscription Tasks reset at the start of the next billing period.
- Task expiry: unused Tasks expire at the end of the billing period. One-time Task purchases also expire after 30 days from purchase.
- Exhausted Tasks: if Tasks are depleted, automations pause until Tasks are available again (next reset or additional purchase).
8. Plans, Premium Automations, and Feature Availability
Plans may differ by Task allowance, available automations, and support level. Some automations may be available only in certain plans (“Premium Automations”). Current plan details are shown in the Service at the time of purchase.
9. Fees, Payments (Stripe), Taxes, and Failed Payments
- Payments are processed via Stripe. Invoices are issued via Stripe.
- Fees are due as displayed at checkout. Taxes (e.g., VAT) may apply depending on your location and status.
- If a payment fails, we may suspend paid features until payment is successfully processed.
10. Cancellation, Term, and Account State
- Auto-renewal: subscriptions renew automatically for the selected term (monthly or yearly) unless canceled.
- Cancellation: you can cancel anytime to stop the next renewal. Paid features remain available until the end of the current billing period.
- After cancellation: your Account may remain, but automations will not run when no Tasks are available.
- Account deletion: you can request deletion via support. Certain data may be retained where legally required.
11. Support and Priority Support
Support is provided via the in-app support/contact form (login required) and email. If your plan includes “Priority Support”, your requests are handled with preferred processing. No guaranteed response times are provided unless explicitly agreed in writing.
12. Availability, Maintenance, and No SLA
We aim for high availability, but we do not provide a formal SLA unless explicitly agreed in writing. Maintenance and emergency updates may cause temporary limitations. We will inform users by email where reasonably possible.
13. Acceptable Use
- No illegal use, infringement, harassment, spam, malware, or attempts to disrupt the Service.
- No reverse engineering, scraping, or abuse of rate limits.
- No attempts to bypass security or restrictions, including prompt injection or malicious use of AI features.
- You are responsible for all Customer Content and for ensuring you have the necessary rights to process it.
14. AI Features Disclaimer
AI-generated outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before using them in production workflows, publications, rights clearance decisions, or legal/compliance contexts.
15. Data Processing, Logging, and Retention
We minimize stored data. We store account and billing-related data, configuration data necessary to run automations, and technical logs/webhooks to provide usage history, troubleshoot issues, and operate the Service.
- Retention: usage/log history is typically retained for up to 12 months (or longer if required for legal, security, or operational reasons).
- Export: data export can be requested via support and may take time depending on scope and technical effort.
- Privacy details are described in our Privacy Policy.
- If you require a data processing agreement, please see our Data Processing Agreement (DPA).
16. Intellectual Property
We retain all rights to the Service, software, branding, and documentation. You receive a non-exclusive, non-transferable, revocable license to use the Service during the term of your contract, subject to these Terms.
You retain ownership of your Customer Content. You grant us a limited license to process Customer Content solely to provide and improve the Service, including operating automations, generating usage analytics, and troubleshooting.
17. Changes to the Service and Task Consumption
We continuously develop the Service. We may change or discontinue features and adjust Task consumption logic, especially due to changes in third-party pricing (e.g., AI models) or technical requirements.
If changes materially reduce core functionality of your purchased plan, you may cancel before the change becomes effective.
18. Changes to these Terms
We may update these Terms. We will notify you by email and indicate an effective date and the “Last updated” date. For material changes (e.g., pricing, liability, termination, core usage rules), we will require your explicit acceptance in the Service. If you do not accept material changes, we may terminate your access to paid features at the effective date and, where appropriate, refund prepaid fees pro rata for the unused remainder of the current billing period.
19. Liability (B2B)
We are liable without limitation for intent, gross negligence, and for damages resulting from injury to life, body, or health. In cases of slight negligence, we are liable only for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable, typical damage.
Our liability is further limited to the fees paid by you for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for outages, changes, or failures of Third-Party Services. You are responsible for backups of data in Third-Party Services.
20. Suspension and Termination for Cause
We may suspend or terminate your access if you materially breach these Terms, misuse the Service, infringe third-party rights, or attempt to compromise security. This does not affect our right to pursue further legal remedies.
21. Governing Law and Venue
These Terms are governed by the laws of Germany. Exclusive place of jurisdiction for merchants is Stuttgart, Germany.
22. Contact
Please use the in-app support/contact form or our contact details provided in the Legal Notice.
